AI & Data Governance

Legal support for organizations implementing, scaling, and commercializing AI.

Organizations approach AI from very different starting points. Some are implementing AI for the first time and are cautious due to legal, privacy, security, and operational risk. Others are already using AI extensively or offering AI-enabled products and services to customers.

I work with both.

My role is to help organizations assess AI-related risk in context and translate it into clear legal and operational guidance. This allows teams to move forward with AI initiatives while adjusting internal practices, aligning stakeholders, and maintaining appropriate governance.

My work includes legal support for:

  • AI governance frameworks and internal AI usage standards
  • Generative and agentic AI contracting, including risk allocation and customer terms
  • Vendor AI risk reviews and procurement alignment
  • Data usage rights, training restrictions, and model risk considerations
  •  Integration of AI initiatives with privacy, security, and internal compliance requirements

For organizations adopting AI for the first time, the focus is on building practical guardrails that enable adoption without creating unnecessary friction. For organizations already developing or commercializing AI, the focus is on structuring governance and contract terms that scale responsibly and support the business model.

Across both, the objective is informed decision-making, workable governance, and AI implementation that teams can execute with confidence.

Technology Transactions & Procurement

Legal support for licensing, vendor negotiations, and technology integration.

Technology transactions typically involve multiple stakeholders, including legal, procurement, sales, privacy, security, risk, AI governance teams, and business leadership. Decisions about whether and how technology can be used often depend on how these groups assess risk, commercial impact, and operational feasibility.

I collaborate closely with these stakeholders, including designated AI gatekeepers where AI capabilities are implicated, to develop a clear understanding of the business objective, the commercial constraints, and what matters most to the organization in closing the deal or completing the procurement process. This collaborative approach allows legal, privacy, security, risk, and AI considerations to be addressed in a way that supports informed decision-making rather than creating blockers late in the process.

I support sales-facing deal execution and procurement-side transactions by aligning legal and risk considerations with business priorities so deals can move forward efficiently.

Sales-side support includes:

  • Customer licensing for SaaS, cloud, and AI-enabled products and services
  • Negotiation of enterprise customer agreements
  • Structuring commercial and risk terms to support go-to-market objectives
  • Addressing data usage, security, and AI-related provisions in customer contracts

Procurement-side support includes:

  • Negotiation of vendor and supplier agreements
  • Software licensing, subscriptions, and cloud services procurement
  • Evaluation of implementation, integration, and service level terms
  • Alignment of contract terms with internal security, privacy, and procurement requirements
Commercial & Strategic Agreements

Commercial contracting grounded in execution, judgment, and business context.

Approach

How I Work

Clients engage me as a flexible legal resource when experience, judgment, and execution matter. I work closely with you and your teams to understand business priorities and timelines, scaling my involvement as needed.

I am often brought in as a subject matter expert when internal teams lack the specialization or capacity to handle complex or high-risk matters, including sophisticated technology transactions, AI-related issues, and complex commercial arrangements.

I am hands-on in the work, drafting, negotiating, and resolving issues in real time while collaborating with key stakeholders across sales, procurement, product, privacy, security, risk, and business leadership. The focus is on reducing friction, addressing issues early, and helping teams move matters forward efficiently with sound, business-aligned decisions.

Approach

Process Improvement & Enablement

Many legal teams understand what would make them more effective, but simply do not have the time or internal capacity to build it. Training, playbooks, updated templates, and clearer decision frameworks are often left undone because they are not immediately revenue-generating, even though they are essential to long-term scalability and the ability of legal teams to support the business effectively.

I partner with VPs Legal, General Counsel, and their teams to help address this gap without pulling internal resources away from day-to-day demands. Where it is helpful, I support the development and refinement of practical tools that give teams clearer guidance on risk and decision-making.

The goal is to help legal teams become stronger partners to the business by enabling faster, more aligned decision-making that supports strategic objectives, accelerates deal execution, and ultimately contributes to revenue growth.

Common Questions

Frequently Asked Questions

Answers to common questions about working together.

I work with organizations of all sizes—from growth-stage companies implementing AI for the first time to Fortune 500 enterprises with complex technology and procurement operations. My clients span technology, financial services, healthcare, consumer products, and professional services industries. What they share is a need for experienced, practical legal support that understands how large organizations make decisions and close deals.

I offer flexible engagement models tailored to your needs. This may include project-based work for specific transactions or initiatives, ongoing advisory support on a retainer basis, or targeted subject matter expertise when your internal team needs specialized assistance. I collaborate closely with you to determine the right level of involvement based on the scope, complexity, and timeline of your matter.

I provide transparent, value-aligned pricing. Depending on the nature of the work, this may be hourly, fixed-fee for defined projects, or a monthly retainer for ongoing support. I'm happy to discuss pricing structure during our initial consultation to find an arrangement that works for your organization and budget.

I typically can begin work within a few days of engagement, depending on current capacity. For urgent matters, I make every effort to accommodate accelerated timelines. During our initial conversation, I'll provide a realistic assessment of availability and expected turnaround for your specific needs.

I work alongside in-house teams, not in place of them. I'm often brought in to provide specialized expertise, additional capacity during peak periods, or support on matters outside the team's core experience. My goal is to make your legal function more effective—not to create dependency. I collaborate closely with your existing team and stakeholders to ensure continuity and knowledge transfer.

My experience spans technology (cloud services, AI, data platforms), financial services, healthcare and life sciences, consumer products, media and entertainment, and professional services. The common thread is complex commercial and technology transactions that require understanding of both legal risk and business operations.
